These Terms of Use ("These Terms” or “Terms") constitute a legally binding agreement between you ("User," "You," or "Your") and Alpha Finance ("Alpha," “Alpha Protocol”, "we," "us," or "our"). By accessing or using the Alpha landing page or any accessible content available at [https://landing.vilka.org] ("Website") including but not limited to the associated decentralized application available at [https://ton.vilka.org] ("DeFi App, dApp"), our Telegram App available at [https://tapps.center] (“tApp”) you acknowledge that you have read, understood, and agree to be legally bound by These Terms. If you do not agree to These Terms, you are not authorized to access or use the Website, the DeFi App, tApp or any Services provided therein.
We reserve the right, in our sole discretion and without any obligation or liability to you, to amend, modify, update, adjust or replace These Terms or any content on the Platform from time to time or at any time without prior notice. Any such modifications shall become effective immediately upon posting. Your continued use of the Website, the DeFi App or our tApp after any such changes constitutes your acceptance of the modified Terms. It is your sole responsibility to review These Terms periodically for changes.
Access to the Website, DeFi App and our tApp is intended solely for users who are at least eighteen (18) years of age and who are legally competent to enter into binding contracts. You represent and warrant that you are not a citizen, resident, or located in any jurisdiction subject to sanctions administered by the United Nations, the United States Office of Foreign Assets Control (OFAC), the European Union, or any other relevant authority. We reserve the right to restrict or terminate access at any time to users located in prohibited jurisdictions.
Alpha Protocol provides access to Alpha Protocol's decentralized services on different blockchains and coins, including but not limited to (i) depositing digital assets (tokens) to earn potential interest; and (ii) borrowing different decentralized coins against deposited collateral through smart contracts.(iii) access to non-custodial web dApps, smart contracts or UX/frontends that interface with a set of decentralized smart contracts that can be deployed on different blockchains and networks. (the "Services"). Alpha Protocol is non-custodial, open-source, and operates fully on-chain. Services may expand or be modified at Alpha 's sole discretion without prior notice. Users interact directly with smart contracts deployed on the different blockchains; Alpha does not custody user assets.
The Website, DeFi App and tApp may reference or provide access to third-party services, websites, content, products and tools ("Third-Party Services"). Alpha does not endorse, control, supervise, or guarantee the accuracy, reliability, or security of any Third-Party Services. Alpha shall bear no responsibility or liability whatsoever whether directly or indirectly for any harm, loss, damages, or claims arising from your interaction with any Third-Party Services, and you access Third-Party Services entirely at your own risk.
All intellectual property rights and title in and to the Website, DeFi App, tApp, associated software, documentation, logos, trademarks, content, data and any other content are owned by or licensed to Alpha Protocol. Your use of the Website and DeFi App, tApp grants you no rights, title, or interest in any intellectual property owned or licensed by Alpha. You may not copy, reproduce, republish, upload, transmit, distribute, or create derivative works from any content without prior written consent from Alpha.
You agree not to use the Website, DeFi App, tApp or Services for any unlawful purposes or in violation of These Terms. Prohibited activities include but are not limited to: (i) violating applicable laws or regulations; (ii) interfering with the Website, DeFi App, tApp’s security; (iii) deploying viruses or harmful code; (iv) engaging in fraudulent or deceptive conduct; (v) using the Services in connection with prohibited financial activities including money laundering or terrorist financing; or (vi) attempting unauthorized access to other accounts, networks, or systems.
Users are required to pay all applicable fees associated with the use of the Services, including (i) mandatory network transaction fees required by different blockchains ("Network Fees"); and (ii) protocol fees imposed by Alpha Protocol ("Commission Fees") which are non-refundable. Network Fees are non-refundable and are outside Alpha 's control. Alpha reserves the right to modify its Commission Fees at any time in its sole discretion without prior consent from You.
You are solely responsible for determining and fulfilling your tax obligations arising from your activities using the Website, DeFi App, tApp or Services. Alpha does not provide tax advice and assumes no responsibility for any User’s tax obligations.
You represent and warrant that: (i) you have the legal authority and capacity to accept these Terms; (ii) you are accessing the Services with legally obtained digital assets; (iii) you are in compliance with all applicable laws and regulations; and (iv) you are not accessing the Services on behalf of, or for the benefit of, any prohibited jurisdiction or sanctioned party.
Decentralized finance (DeFi) systems involve significant risks. By using the Website, DeFi App, tApp and Services, you acknowledge and accept the inherent risks, including but not limited to: market volatility, liquidation risks, regulatory actions, loss of digital assets, system failures, unplanned interruptions in their network or services, hardware or software defects, security breaches or other causes that could adversely affect the Platform’s infrastructure network. the Platform is unable to anticipate when there would be the occurrence of hacks, cyber-attacks, mining attacks, including but not limited to double-spend attacks, majority mining power attacks and selfish-mining attacks, re-entrancy attacks, distributed denials of service or errors, vulnerabilities or defects in any component of the Services or any related technology or DeFi App, including but not limited to smart contract technology and/or any software compilers used and systemic risks in blockchain networks. You fully assume all risks associated with interacting with Alpha's smart contracts and waive any claims against Alpha arising from such risks.
You acknowledge and expressly agree that your use of the Services is undertaken solely, exclusively, and entirely at your own risk. This provision does not constitute an exhaustive disclosure of all potential risks, uncertainties, or liabilities that may arise in connection with digital assets or the use of Alpha. Alpha shall not be liable for any delay, error, interruption, or failure to perform any obligation under These Terms where such delay or failure results, directly or indirectly, from causes beyond the Alpha’s control. You are strongly advised to conduct a thorough evaluation of the suitability of such use, taking into careful consideration your individual circumstances, financial position, and risk tolerance.
Nothing contained on the Website, DeFi App or tApp constitutes financial, investment, legal, or tax advice. Alpha does not provide recommendations or endorsements regarding any digital assets, DeFi activities, or investment strategies. Users are solely responsible for conducting their own independent due diligence and risk assessment before engaging with the Services.
The Website, DeFi App, tApp and Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. Alpha disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, security, and reliability of the Services.
To the maximum extent permitted by applicable law, in no event shall Alpha Protocol, its affiliates, developers, contributors, agents, licensors, or service providers be liable to you or any third party for any direct, indirect, incidental, special, punitive, consequential, or exemplary damages (including without limitation loss of profits, data, digital assets, business opportunities, or goodwill), whether in contract, tort, strict liability, or otherwise, arising out of or in connection with your access to or use of, or inability to access or use, the Website, the DeFi App, tApp or any Services provided thereunder. This limitation of liability applies even if Alpha has been advised of or should have known of the possibility of such damages. You acknowledge that Alpha Protocol is not responsible for any damages, losses, or liabilities arising from user error, system failure, unauthorized access, third-party attacks, blockchain network failures, or any other risks inherent in DeFi systems or internet-based technologies.
You agree to indemnify, defend, and hold harmless Alpha, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including attorneys' fees) arising from your violation of These Terms, your use of the Services, or your violation of any law or third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to conflict of laws principles. Any disputes arising out of or relating to These Terms shall be resolved exclusively by the courts of the Cayman Islands.
If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Alpha. Any attempt to assign or transfer in violation of this clause shall be null and void. Alpha may assign or transfer its rights and obligations under These Terms without restriction or notice to you.
These Terms constitute the entire agreement between You and Alpha with respect to your access to and use of the Website, DeFi App, tApp and Services, and supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Alpha.
No waiver by Alpha of any breach or default under These Terms shall be deemed to be a waiver of any preceding or subsequent breach or default. Any waiver must be in writing and signed by an authorized representative of Alpha to be legally effective.
To the maximum extent permitted by applicable law, you hereby irrevocably waive any and all rights to assert any claims, actions, or remedies against Alpha arising from or related to your use of the Website, DeFi App, tApp or Services, except where such waiver is expressly prohibited by law. No failure or delay by Alpha in exercising any right, power, or privilege shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise of any right, power, or privilege. Any waiver must be expressly made in writing and signed by an authorized representative of Alpha.
